Common use of Certain Benefit Plans Clause in Contracts

Certain Benefit Plans. Subject to compliance with pooling-of-interest accounting treatment of the Merger, Parent shall take such reasonable actions as are necessary to allow eligible employees of the Company to participate in the benefit programs of Parent available to employees of Parent having similar positions and levels of responsibility on the terms and conditions provided in such plans.

Certain Benefit Plans. Subject to compliance with pooling-of-interest accounting treatment of the Merger, as soon as practicable after the Effective Time Parent shall take such reasonable actions as are necessary to allow eligible employees of the Company who become employees of Parent or the Surviving Corporation to participate in the benefit programs of Parent available to employees of Parent having similar positions and levels of responsibility on the terms and conditions provided in such plans.

Subject to compliance with pooling-of-interest accounting treatment of the Merger, Parent shall take such reasonable actions as are necessary to allow eligible employees of the Company to participate in the benefit of the programs of Parent available Parent, or alternative benefits programs substantially comparable to those applicable to employees of Parent having similar positions and levels of responsibility on Parent, as soon as practicable after the terms and conditions provided in such plansEffective Time.
