Certain Bonds. (a) On or immediately following the Closing Date, pursuant to Section Twenty-Third of that certain Agreement of Indemnity (“Indemnity Agreement”), dated February 8, 2007, by and among the Company, Seller, and Westfield Insurance Company, Westfield National Insurance Company, and Ohio Farmers Insurance Company, Seller will deliver to the Surety (as defined in the Indemnity Agreement) a written notice of termination of the Indemnity Agreement with respect to Seller. From and after the Closing Date, neither Buyer nor the Company shall request nor permit the Surety (as defined in the Indemnity Agreement) to execute bonds for or on behalf of the Company for which Seller could be subject to liability under the Indemnity Agreement.
