Certain Business Relationships with the Company and its Affiliates. Except as contemplated hereby with respect to New PC, neither the Shareholder nor any of his Affiliates have been involved in any business arrangement or relationship with the Company and its Affiliates within the past twelve (12) months, and none of the Shareholder and his Affiliates owns any asset, tangible or intangible, which is material to the business of any of the Company and its Affiliates.
