Except as set forth in Section 3(q) of the Disclosure Schedule, no officer, director, shareholder or entity under common control with Seller has been involved in any material business arrangement or relationship with the Business within the past 12 months, and none of them owns any material asset, tangible or intangible, which is used in the Business.
