Certain Company Employee Plans. With respect to each Company Employee Plan: i. No such plan is a "multi-employer plan" within the meaning of Section 3(37) of ERISA or a "multiple employer plan" within the meaning of Section 413(c) of the Code and neither the Company nor any of its ERISA affiliates has at any time contributed to or had any liability or obligation in respect of any such Multi-employer Plan or multiple employer plan; ii. No Legal Action has been initiated by the Pension Benefit Guaranty Corporation to terminate any such plan or to appoint a trustee for any such plan; iii. No "reportable event," as defined in Section 4043 of ERISA, has occurred with respect to any such plan. (A reportable event occurs when the Secretary of the Treasury issues a notice that a plan has ceased to be a plan described in Section 4021(a)(2) of ERISA, or when the Secretary of Labor determines that a plan is not in compliance with Title I of ERISA)
