Legal services performed either in-house or by outside counsel to (i) draft manuals, policies or guidelines to be used for the System; and (ii) represent Manager and its Affiliates on issues relating to the relationship between Tenant and Manager and its Affiliates, unless the Expert directs Tenant to pay the costs of any legal services.
