Common use of Certain Payments Clause in Contracts

Certain Payments. Neither the Company nor any director, officer or employee of the Company acting for or on behalf of the Company, has paid or caused to be paid, directly or indirectly, in connection with the business of the Company: a. to any government or agency thereof or any agent of any supplier or customer any bribe, kick-back or other similar payment; or b. any contribution to any political party or candidate (other than from personal funds of directors, officers or employees not reimbursed by their respective employers or as otherwise permitted by applicable law).

Certain Payments. Neither the Company Company, nor any director, officer or employee of the Company acting for or on behalf of the Company, has paid or caused to be paid, directly or indirectly, in connection with the business of the Company: a. (a) to any government or agency thereof or any agent of any supplier or customer any bribe, kick-back or other similar payment; or b. or (b) any material contribution to any political party or candidate (other than from personal funds of directors, officers or employees not reimbursed by their respective employers or as otherwise permitted by applicable law).

(b) any contribution to any domestic or foreign political party or candidate (other than from personal funds of directorssuch shareholder, officers officer, director or employees employee not reimbursed by their respective employers the Company or as otherwise permitted by applicable law).

Neither the Company nor Compost or any directorofficer, officer director or employee of the Company acting for or on behalf of the Company, has paid or received or caused to be paidpaid or received, directly or indirectly, in connection with the business of the Company: a. Company (a) any bribe, kickback or other similar payment to or from any domestic or foreign government or agency thereof or any agent of any supplier other person or customer any bribe, kick-back or other similar payment; or b. (b) any contribution to any domestic or foreign political party or candidate (other than from personal funds of directorssuch officer, officers director or employees employee not reimbursed by their respective employers the Company or as otherwise permitted by applicable law).

Neither To the best knowledge of the Company and the Mxxxxx Group, neither the Company nor any director, officer or employee of the Company acting for or on behalf of the Company, has paid or caused to be paid, directly or indirectly, in connection with the business of the Company: a. : (i) to any government or agency thereof or any agent of any supplier or customer any bribe, kick-kick- back or other similar payment; or b. or (b) any contribution to any political party or candidate (other than from personal funds of directors, officers or employees not reimbursed by their respective employers or as otherwise permitted by applicable law).

Business: (a) to any government or agency thereof or any agent of any supplier or customer any bribe, kick-back or other similar payment; or b. or (b) any contribution to any political party or candidate (other than from personal funds of directors, officers or employees not reimbursed by their respective employers or as otherwise permitted by applicable law).

Certain Payments.
