Common use of Certain Rights of Agent Clause in Contracts

Certain Rights of Agent. The Agent may at any time request instructions from the Lenders with respect to any actions or approvals which by the terms of this Agreement or of any of the Other Documents the Agent is permitted or required to take or to grant. If Agent shall request any such instructions, Agent shall be entitled to refrain from such act or taking such action unless and until Agent shall have received instructions from the Required Lenders; and Agent shall not incur liability to any Person by reason of so refraining. Without limiting the foregoing, Lenders shall not have any right of action whatsoever against Agent as a result of its acting or refraining from acting hereunder in accordance with the instructions of the Required Lenders.

If Agent shall request any such instructions, Agent shall be entitled to refrain from such act or taking such action unless and until the Agent shall have received instructions from the Required Lenders; and the Agent shall not incur liability to any Person by reason of so refraining. Without limiting the foregoing, Lenders but subject to the terms of Section 11.08 hereof, no Lender shall not have any right of action whatsoever against the Agent as a result of its the Agent acting or refraining from acting hereunder in accordance with the instructions of the Required Lenders.

If Agent shall request instructions from the Required Holders with respect to any such instructionsact or action (including the failure to act) in connection with this Agreement or any of the other Transaction Documents, Agent shall be entitled to refrain from such act or taking such action unless and until Agent shall have received instructions from the Required Lenders; Holders, and Agent shall not incur liability to any Person by reason of so refraining. Without limiting the foregoing, Lenders no Purchaser shall not have any right of action whatsoever against Agent as a result of its Agent acting or refraining from acting hereunder in accordance with the instructions of the Required LendersHolders.
