Without limiting the foregoing, neither any no Lender nor the holder of any Note shall have any right of action whatsoever against the Administrative Agent as a result of the Administrative Agent acting or refraining from acting hereunder or under any this Agreement and the other Credit Document Loan Documents in accordance with the instructions of the Required Lenders, or, to the extent required by Section 9.2, all of the Lenders.

Without limiting the foregoing, neither any no Lender nor the holder of any Note shall have any right of action whatsoever against the Administrative Agent as a result of the Administrative Agent acting or refraining from acting hereunder or under any this Agreement, the Notes and the other Credit Document Financing Documents in accordance with the instructions of the Required Lenders, or to the extent required by Section 9.2, all of the Lenders.

If the Administrative Agent requests shall request instructions from the Required Majority Lenders with respect to any act or action (including failure to act) in connection with this Agreement or any other Credit Loan Document, the Administrative Agent shall be entitled to refrain from such act or taking such action unless and until the Administrative Agent shall have received instructions from the Required Majority Lenders; and the Administrative Agent shall not incur liability to any Lender Person by reason of so refraining. Without limiting the foregoing, neither any no Lender nor the or holder of any Note shall have any right of action whatsoever against the Administrative Agent as a result of the Administrative Agent acting or refraining from acting hereunder or under any other Credit Loan Document in accordance with the instructions of the Required Majority Lenders.

If the Administrative Agent requests shall request instructions from the Required Lenders, Majority Revolving Credit Lenders and/or Majority Term Loan Lenders with respect to any act action or action actions (including the failure to act) in connection with this Agreement or any other Credit DocumentAgreement, the Administrative Agent shall be entitled to refrain from such act or taking such action act, unless and until the Administrative Agent it shall have received instructions from the Required such Lenders; and the Administrative Agent shall not incur liability to any Lender Person by reason of so refraining. Without limiting the foregoing, neither any no Lender nor the holder of any Note shall have any right of action whatsoever against the Administrative Agent as a result of the Administrative Agent acting or refraining from acting hereunder or under any other Credit Document in accordance with the instructions of the Required Lenders, Majority Revolving Credit Lenders and/or Majority Term Loan Lenders where required by the terms of this Agreement.

Without limiting the foregoing, neither any Lender nor the holder of any Note shall have any right of action whatsoever against the Administrative Agent as a result of the Administrative Agent acting or refraining from acting hereunder or under any other Credit Document in accordance with the instructions of the Required LendersLenders (or all the Lenders if required hereunder).

Without limiting the foregoing, neither any Lender nor the holder of any Note Bank Product Provider shall have any right of action whatsoever against the Administrative Agent as a result of the Administrative Agent acting or refraining from acting hereunder or under any other Credit Document in accordance with the instructions of the Required Lenders.

Without limiting the foregoing, neither any no Lender nor the holder of any Note shall have any right of action whatsoever against the Administrative Agent as a result of the Administrative Agent acting or refraining from acting hereunder or under any this Agreement, the Notes and the other Credit Document Financing Documents in accordance with the instructions of the Required Lenders, or to the extent required by Section 10.2, all of the Lenders.

Certain Rights of the Administrative Agent. The Administrative Agent shall have the right to request instructions from the Majority Banks at any time. If the Administrative Agent requests shall request instructions from the Required Lenders Majority Banks or Banks, as applicable, with respect to any act or action (including the failure to act) in connection with this Agreement or any other Credit Loan Document, the Administrative Agent shall be entitled to refrain from such act or taking such action unless and until the Administrative Agent shall have received instructions from the Required Lenders; Majority Banks, and the Administrative Agent shall not incur liability to any Lender Person by reason of so refraining. Without limiting the foregoing, neither any Lender nor the holder of any Note no Bank shall have any right of action whatsoever against the Administrative Agent as a result of the Administrative Agent acting or refraining from acting hereunder or under any other Credit Document in accordance with the instructions of the Required LendersMajority Banks.

Certain Rights of the Administrative Agent. If the Administrative Agent requests shall request instructions from the Required Lenders Banks with respect to any act or action (including failure to act) in connection with this Agreement or any other Credit Document, the Administrative Agent shall be entitled to refrain from such act or taking such action unless and until the Administrative Agent shall have received instructions from the Required LendersBanks; and the Administrative Agent shall not incur liability to any Lender Person by reason of so refraining. Without limiting the foregoing, neither any Lender nor the holder of any Note no Bank shall have any right of action whatsoever against the Administrative Agent as a result of the Administrative Agent acting or refraining from acting hereunder or under any other Credit Document in accordance with the instructions of the Required LendersBanks or where otherwise expressly provided herein, such other requisite number of Banks.

If the Administrative Agent requests instructions from the Required Lenders with respect to any act or action (including failure to act) in connection with this Agreement or any other Credit Bridge Loan Document, the Administrative Agent shall be entitled to refrain from such act or taking such action unless and until the Administrative Agent shall have received instructions from the Required Lenders; and the Administrative Agent shall not incur liability to any Lender by reason of so refraining. Without limiting the foregoing, neither any Lender nor the holder of any Note shall have any right of action whatsoever against the Administrative Agent as a result of the Administrative Agent acting or refraining from acting hereunder or under any other Credit Bridge Loan Document in accordance with the instructions of the Required Lenders.

If the Administrative Agent requests shall request instructions from the Required Lenders Banks with respect to any act or action (including failure to act) in connection with this Agreement or any other Credit Document, the Administrative Agent shall be entitled to refrain from such act or taking such action unless and until the Administrative Agent shall have received instructions from the Required LendersBanks; and the Administrative Agent shall not incur liability to any Lender Person by reason of so refraining. Without limiting the foregoing, neither any Lender nor no Bank or the holder of any Note shall have any right of action whatsoever against the Administrative Agent as a result of the Administrative Agent Agent's acting or refraining from acting hereunder or under any other Credit Document in accordance with the instructions of the Required LendersBanks.

If the Administrative Agent requests instructions from the Required Majority Lenders with respect to any act or action (including the failure to act) in connection with this Agreement or any other Credit DocumentAgreement, the Administrative Agent shall be entitled to refrain from such act or taking such action unless and until the Administrative Agent shall have received instructions from the Required Majority Lenders; , and the Administrative Agent shall not incur liability to any Lender Person by reason of so refraining. Without limiting the foregoing, neither any no Lender nor the holder of any Note shall have any right of action whatsoever against the Administrative Agent as a result of the Administrative Agent acting or refraining from acting hereunder or under any other Credit Document in accordance with the instructions of the Required Majority Lenders.

Without limiting the foregoing, neither any none of the Lender nor or the holder Holder of any Note or Loan shall have any right of action whatsoever against the Administrative Agent as a result of the Administrative Agent acting or refraining from acting hereunder or under any other Credit Document in accordance with the instructions of the Required LendersLender.

If the Administrative Agent requests shall request instructions from the Lenders or the Required Lenders (as the case may be) with respect to any act or action (including the failure to act) in connection with this Agreement or any the other Credit DocumentLoan Documents, the Administrative Agent shall be entitled to refrain from such act or taking such action unless and until the Administrative such Agent shall have received written instructions from the Lenders or the Required Lenders; , as applicable, and the Administrative such Agent shall not incur liability to any Lender Person by reason of so refraining. Without limiting the foregoing, neither any no Lender nor the holder of any Note shall have any right of action whatsoever against the Administrative Agent as a result of the Administrative Agent acting or refraining from acting hereunder or under any this Agreement and the other Credit Document Loan Documents in accordance with the instructions of the Required Lenders, or, to the extent required by Section 9.2, all of the Lenders.

Without limiting the foregoing, neither any no Lender nor the holder of any Note shall have any right of action whatsoever against the Administrative Agent as a result of the Administrative Agent acting or refraining from acting hereunder or under any this Agreement, the Term Notes and the other Credit Document Financing Documents in accordance with the instructions of the Required Lenders, or to the extent required by Section 10.2, all of the Lenders.

Without limiting the foregoing, neither any no Lender nor the holder of any Note shall have any right of action whatsoever against the Administrative Agent as a result of the Administrative Agent acting or refraining from acting hereunder or under any other Credit Document in accordance ac-cordance with the instructions of the Required LendersLenders where required by the terms of this Agreement.

If the Administrative Agent requests shall request instructions from the Required Waiver Lenders with respect to any act or action (including failure to act) in connection with this Agreement or any other Credit Financing Document, the Administrative Agent shall be entitled to refrain from such act or taking such action unless and until the Administrative Agent shall have received instructions from the Required Waiver Lenders; , and the Administrative Agent shall not incur liability to any Lender Person by reason of so refraining. Without limiting the foregoing, neither any no Lender nor or the holder of any Note shall have any right of action whatsoever against the Administrative Agent as a result of the Administrative Agent acting or refraining from acting hereunder or under any other Credit Financing Document in accordance with the instructions of the Required Waiver Lenders.

Without limiting the foregoing, neither any no Lender nor the holder of any Note shall have any right of action whatsoever against the Administrative Agent as a result of the Administrative Agent acting or refraining from acting hereunder or under any this Agreement, the Notes and the other Credit Document Financing Documents in accordance with the instructions of the Required Majority Lenders.

Without limiting the foregoing, neither any Lender nor no Bank or the holder of any Note shall have any right of action whatsoever against the Administrative Agent as a result of the Administrative Agent acting or refraining from acting hereunder or under any other Credit Document in accordance with the instructions of the Required LendersBanks or all Banks, as the case may be.

If the Administrative Agent requests shall request instructions from the Required Majority Lenders with respect to any act or action (including failure to act) in connection with this Agreement or any other Credit Loan Document, the Administrative Agent shall be entitled to refrain from such act or taking such action unless and until the Administrative Agent shall have received instructions from the Required Majority Lenders; and the Administrative Agent shall not incur liability to any Lender Person by reason of so refraining. Without limiting the foregoing, neither any no Lender nor the or holder of any Note shall have any right of action whatsoever against the Administrative Agent as a result of the Administrative Agent acting or refraining 105 from acting hereunder or under any other Credit Loan Document in accordance with the instructions of the Required Majority Lenders.

If the Administrative Agent requests shall request instructions from the Required Majority Lenders with respect to any act or action (including failure to act) in connection with this Agreement or any other Credit Document, the Administrative Agent shall be entitled to refrain from such act or taking such action unless and until the Administrative Agent shall have received instructions from the Required Majority Lenders; , and the Administrative Agent shall not incur any liability to any Lender Person by reason of so refraining. Without limiting the foregoing, neither any Lender nor the holder of any Note Lenders shall not have any right of action whatsoever against the Administrative Agent as a result of the Administrative Agent acting or refraining from acting hereunder or under any other Credit Document in accordance with the instructions of the Required LendersMajority Lenders as is required pursuant to this Agreement.

Certain Rights of the Administrative Agent. If the Administrative Agent requests shall request instructions from the Required Lenders (or such other number or percentage of the Lenders as shall be necessary under the circumstances as provided in Section 10.2) with respect to any act action or action actions (including the failure to act) in connection with this Agreement or any other Credit DocumentAgreement, the Administrative Agent shall be entitled to refrain from such act or taking such action act, unless and until the Administrative Agent it shall have received instructions from the Required such Lenders; and the Administrative Agent shall not incur liability to any Lender Person by reason of so refraining. Without limiting the foregoing, neither any no Lender nor the holder of any Note shall have any right of action whatsoever against the Administrative Agent as a result of the Administrative Agent acting or refraining from acting hereunder or under any this Agreement, the Notes and the other Credit Document Financing Documents in accordance with the instructions of the Required Lenders, or to the extent required by Section 8.02, all of the Lenders.

Without limiting the foregoing, neither any no Lender nor the holder of any Note shall have any right of action whatsoever against the Administrative Agent as a result of the Administrative Agent acting or refraining from acting hereunder or under any this Agreement, the Revolving Credit Notes and the other Credit Document Financing Documents in accordance with the instructions of the Required Lenders, or, to the extent required by Section 10.2, all of the Lenders.

Without limiting the foregoing, neither any Lender nor the holder of any Note no Bank shall have any right of action whatsoever against the Administrative Agent as a result of the Administrative Agent acting or refraining from acting hereunder or under any other Credit Document in accordance with the instructions of the Required LendersBanks.

Without limiting the foregoing, neither any Lender nor the holder of any Note shall have any right of action whatsoever against the Administrative Agent as a result of the Administrative Agent acting or refraining from acting hereunder or under any other Credit Loan Document in accordance with the instructions of the Required Lenders.

Without limiting the foregoing, neither any Lender nor no Bank or the holder of any Revolving Note shall have any right of action whatsoever against the Administrative Agent as a result of the Administrative Agent acting or refraining from acting hereunder or under any other Credit Document in accordance with the instructions of the Required LendersBanks.

If the Administrative Agent requests shall request instructions from the Lenders or the Required Lenders (as the case may be) with respect to any act or action (including the failure to act) in connection with this Agreement or any other Credit DocumentAgreement, the Administrative Agent shall be entitled to refrain from such act or taking such action unless and until the Administrative Agent shall have received written instructions from the Lenders or the Required Lenders; , as applicable, and the Administrative Agent shall not incur liability to any Lender Person by reason of so refraining. Without limiting the foregoing, neither any no Lender nor the holder of any Note shall have any right of action whatsoever against the Administrative Agent as a result of the Administrative Agent acting or refraining from acting hereunder or under any other Credit Document this Agreement in accordance with the instructions of the Required Lenders, or, to the extent required by Section 11.01, all of the Lenders.
