Certain Terminations under the Bye-Laws of the Company. Unless otherwise determined by the Committee, in the event that the Service Period is terminated under the Bye-Laws of the Company for any reason other than (x) a Special Termination or (y) in accordance with Section 6(c), then any Options held by the Director that are exercisable as of the date of such termination may be exercised by the Director at any time prior to (i) the first anniversary of the date of such termination or (ii) the Normal Expiration Date of the Options, whichever period is shorter. Any Options held by the Director that are not then exercisable shall terminate and be cancelled immediately upon such termination of employment.
