Common use of Certain Terminology Clause in Contracts

Certain Terminology. For the purposes of this Agreement, the terms and phrases “acting jointly or in concert”, “beneficial ownership”, “take-over bid” and “issuer bid” (or grammatical variations thereof) shall have the meanings given to them under applicable Canadian Securities Laws and “take-over bid” shall include a tender offer or exchange offer conducted pursuant to applicable U.S. Securities Laws.
