Common use of Certain Transaction-Related Taxes Clause in Contracts

Certain Transaction-Related Taxes. All transfer, documentary, sales, use, stamp, recording fees, registration and similar Taxes and fees (including, without limitation, any penalties and interest) attributable to each Seller’s sale of such Seller’s Subject Units to Purchaser pursuant to this Agreement shall be paid by such Seller when due, and such Seller shall, at its expense, file all necessary Tax Returns and other documentation with respect to all such transfer, documentary, sales, use, stamp, registration and other Taxes. All income taxes, including, without limitation, capital gains taxes, arising out of or in connection with the execution and performance of this Agreement shall be borne by the applicable Seller. Purchaser shall be entitled to deduct and withhold from the Purchase Price all Taxes that Purchaser may be required to deduct and withhold under any provision of applicable Tax Law. All such withheld amounts shall be treated as delivered to the applicable Seller hereunder.
