Certificate of Assumption. As soon after the Effective Time as is practicable, the Surviving Corporation shall send to each of Xxxxxxxxx’s members notice of the Merger, the Conversion and the Surviving Corporation’s assumption of Xxxxxxxxx’s policies in the form of a Certificate of Assumption and Endorsement which shall be substantially the same as Exhibit C attached to and made a part of this Agreement.
Certificate of Assumption. This is to certify that Guaranty Association Benefits Company, a District of Columbia, non-stock, not-for-profit captive insurance company (“GABC”), pursuant to a Reinsurance and Assumption Agreement (“Agreement”) by and among Executive Life Insurance Company of New York in Liquidation (“ELNY”), the National Organization of Life and Health Insurance Guaranty Associations (“NOLHGA”), NOLHGA’s member life and health insurance guaranty associations that have elected to participate in the Restructuring Plan (as defined below), The Life Insurance Guaranty Corporation existing under Article 75 of the New York Insurance Laws and GABC, hereby assumes as of 12:01 A.M. ET on (“Effective Date”) the contractual obligations under the above-numbered contract originally issued by ELNY (the “Contract”) in accordance with the terms of the Agreement and as restructured and enhanced in accordance with the Agreement of Restructuring in Connection with the Liquidation of Executive Life Insurance Company of New York (“Restructuring Plan”) approved on , by the Supreme Court of Nassau County of the State of New York (“Court”). GABC’s assumption of the contractual obligations under the subject Contract is subject to (i) all the terms and conditions contained in the Contract, (ii) any defenses available to GABC under the Agreement and the Restructuring Plan, (iii) the terms and conditions set forth in the Agreement, the Restructuring Plan and this Certificate of Assumption, which will become part of the Contract and (iv) the final Order of Liquidation entered by the Court approving the terms and conditions of the Restructuring Plan, the Agreement and this Certificate of Assumption. Certificate of Assumption. As soon after the Effective Time as is practicable, the Surviving Corporation shall send to each of NFMIC’s members notice of the Merger and the Surviving Corporation’s assumption of NFMIC’s policies in the form of a Certificate of Assumption and Endorsement which shall be substantially the same as Exhibit C attached to and made a part of this Agreement.
Certificate of Assumption. As soon after the Effective Time as is practicable, the Converted Corporation shall send to the members of Xxxxxx notice of the Conversion and the Converted Corporation’s assumption of each Xxxxxx policy in the form of a Certificate of Assumption and Endorsement which shall be substantially the same as Exhibit E attached to and made a part of this Agreement.
Certificate of Assumption. As soon after the Effective Time as is practicable, the Surviving Corporation shall send to each of ASNMIC’s members notice of the Merger and the Surviving Corporation’s assumption of ASNMIC’s policies in the form of a Certificate of Assumption and Endorsement which shall be substantially the same as Exhibit C attached to and made a part of this Agreement.
Certificate of Assumption. As soon after the Effective Time as is practicable, the Surviving Corporation shall send to each of SGMIC’s members notice of the Merger and the Surviving Corporation’s assumption of SGMIC’s policies in the form of a Certificate of Assumption and Endorsement which shall be substantially the same as Exhibit C attached to and made a part of this Agreement.
Certificate of Assumption. As soon after the Effective Time as is practicable, the Surviving Corporation shall send to each of TCMTIC’s members notice of the Merger and the Surviving Corporation’s assumption of TCMTIC’s policies in the form of a Certificate of Assumption and Endorsement which shall be substantially the same as Exhibit C attached to and made a part of this Agreement.
Certificate of Assumption. The Reinsurer shall also prepare and mail a certificate of assumption substantially in the form of Exhibit B attached hereto (the "Certificate of Assumption") to Policyholders resident in states which require the mailing of a separate Certificate of Assumption. Such certificates may be mailed separately or together with the Policyholder Notice at the option of the Reinsurer, but subject to any applicable regulatory requirements.
Certificate of Assumption. As soon after the Effective Date as is practicable, the Surviving Corporation shall send to each of Holland’s members notice of the Merger and the Surviving Corporation’s assumption of Holland’s policies in the form of a Certificate of Assumption and Endorsement which shall be substantially the same as Exhibit C attached to and made a part of this Agreement.
Certificate of Assumption. As soon after the Effective Time as is practicable, the Surviving Corporation shall send to each of Heartland’s members notice of the Merger and the Surviving Corporation’s assumption of Heartland’s policies in the form of a Certificate of Assumption and Endorsement which shall be substantially the same as Exhibit C attached to and made a part of this Agreement.
