Common use of Certificate of Compliance Clause in Contracts

Certificate of Compliance. The Trust shall deliver to Financial Security concurrently with the delivery of the financial statements required pursuant to paragraph (b) above, a certificate signed by an Authorized Officer of the Administrator stating that: (i) a review of the Trust's performance under this Agreement and the other Transaction Agreements to which the Trust is a party during such period has been made under such officer's supervision; and (ii) to the best of such officer's knowledge based upon such review, the Trust has fulfilled all its obligations under this Agreement and the other Transaction Agreements to which the Trust is a party during such period, or, if there has been a default of any such obligation, specifying each such default known to such officer and the nature and status thereof.
