Common use of Certificate of Compliance Clause in Contracts

Certificate of Compliance. The Sellers shall have delivered to the Purchaser a certificate of each of the Sellers dated as of the Closing Date, executed by a duly authorized senior officer of each of the Sellers, certifying as to the satisfaction of the conditions set forth in Sections 7.1 and 7.2.

The Sellers Buyers shall have delivered to the Purchaser Sellers a certificate of each of the Sellers dated as of the Closing Date, duly executed by a duly authorized senior officer of each of the SellersBuyers, certifying as to the satisfaction of the conditions set forth in Sections Section 7.1 and Section 7.2.

The Sellers Purchaser shall have delivered to the Purchaser Seller a certificate of each of the Sellers dated as of the Closing Date, executed signed by a duly authorized senior officer of each of the SellersPurchaser, certifying as to the satisfaction of the conditions set forth in compliance with Sections 7.1 6.1(a) and 7.26.1(b).

The Sellers Seller shall have delivered to the Purchaser a certificate of each of the Sellers dated as of the Closing Date, executed signed by a duly authorized senior officer of each of the SellersSeller, certifying as to the satisfaction of the conditions set forth in Sections 7.1 7.3(a), 7.3(b) and 7.27.3(c).
