Common use of Certificate of Designation Clause in Contracts

Certificate of Designation. The Company shall have filed the Certificate of Designation creating the Series B Convertible Preferred Stock with the Nevada Secretary of State.

Certificate of Designation. The Company shall have filed with the Secretary of State of the State of Nevada the Certificate of Designation creating (substantially in the form attached as Exhibit B hereto) with respect to the Series B Convertible Preferred Stock with the Nevada Secretary of State.Stock; and

Certificate of Designation. The Company shall have filed adopt and file with the Secretary of State of the State of Nevada the Amended and Restated Certificate of Designation creating the of Series B Convertible Preferred Stock with of the Nevada Secretary Company (the "Certificate of State.Designation") substantially in the form attached hereto as Appendix A.

Certificate of Designation. The Company shall have filed approved in writing the form of Certificate of Designation creating containing the Series B Convertible rights and preferences of the shares of Preferred Stock to be issued to the Company pursuant to this Agreement, which Certificate of Designation shall be filed with the Nevada Secretary of StateState of the State of Nevada prior to the Effective Time.

Certificate of Designation. The Company shall have adopted and filed with the Secretary of State of Nevada the Certificate of Designation creating of the Series B A Convertible Preferred Stock with the Nevada Secretary of StateStock.

Certificate of Designation. The Company shall have filed the Amended and Restated Certificate of Designation creating for the Series B Convertible D Preferred Stock in the form attached hereto as Exhibit A with the Nevada Secretary of State.

Certificate of Designation. The Company shall have filed the Certificate of Designation creating for the Series B Convertible A Preferred Stock in the form attached hereto as Exhibit A with the Nevada Secretary of State.

Certificate of Designation. The Company shall have filed the Amendment to the Amended and Restated Certificate of Designation creating for the Series B Convertible D Preferred Stock in the form attached hereto as Exhibit A with the Nevada Secretary of State.

Certificate of Designation. The Company shall have filed the Amendment to Certificate of Designation creating for the Series B Convertible Preferred Stock in the form attached hereto as Exhibit A with the Nevada Secretary of State.

Certificate of Designation. The Company shall have filed approved in writing the form of Certificate of Designation creating containing the Series B Convertible rights and preferences of the shares of Preferred Stock Stock, if any, to be issued to the Company pursuant to this Agreement, which Certificate of Designation shall be filed with the Nevada Secretary of StateState of the State of Nevada prior to the Effective Date.

Certificate of Designation. The Notwithstanding the foregoing, the Company shall duly execute and file with the Secretary of State of Nevada a Certificate of designation providing for the designation of the Series A Convertible Preferred Stock having the rights and preferences set forth in Exhibit A hereto and a Certificate of Correction nullifying the action purported to have filed been taken by the Certificate of Designation creating the Series B Convertible Preferred Stock with the Nevada Secretary Change filed as of StateJune 1, 2006.
