Certificate of Designations; Authorizations; Etc. (a) Prior to the Closing (as defined below), the Company shall file with the Secretary of State of the State of Delaware a Certificate of Designations (the "Certificate of Designations"), in the form attached hereto as Exhibit A, setting forth, among other things, the designations, powers, --------- preferences and rights of the Series A Preferred Stock, $.01 par value per share (the "Series A Preferred Stock").
