The Certificate of Incorporation and By-Laws in the form attached to Section 3.2 of the Company Disclosure Schedule are the Certificate of Incorporation and By-Laws of the Company as in effect on the date of this Agreement. The Certificate of Incorporation and By-laws of the Company and all amendments thereto to date have been delivered to Buyer by Sellers, and are complete and correct as of the date hereof. The Company is not in default in any respect in the performance, observance or fulfillment of any of the terms or conditions of its Certificate of Incorporation or By-laws. The minute books of the Company contain, and will contain at the Closing Date, accurate and complete minutes in all material respects of all meetings and resolutions of its directors and shareholder held since its incorporation. All resolutions of the Company were duly passed and all meetings of the Company were duly held and the stock certificate book and register are, and will at the Closing Date be, complete and accurate and shall reflect all transactions contemplated by this Agreement.
