Parent has made available to the Company accurate and complete copies of the certificate of incorporation, bylaws and other charter and organizational documents, in each case as applicable, of Parent and Merger Sub and the certificate of formation, operating agreement and other charter and organizational documents of Merger LLC, including, in each case, all respective amendments thereto (collectively, the "Parent Charter Documents").
