Common use of CERTIFICATE OF MSGI OFFICERS Clause in Contracts

CERTIFICATE OF MSGI OFFICERS. MSGI shall have delivered to Santa Lucia a certificate or certificates signed by its officers dated the Effective Time, in form and substance satisfactory to Santa Lucia and its counsel to the effect that, to the best of their knowledge after conducting diligent inquiry, the representations and warranties of MSGI contained in Article II hereof are true, accurate and complete.
