Certificate of Officer. The Acquiror Company will have delivered to the Company a certificate, dated the Closing Date, executed by an officer of the Acquiror Company, certifying the satisfaction of the conditions specified in Sections 10.1, 10.2, and 10.3 relating to the Acquiror Company.
Certificate of Officer. The Company will have delivered to the Acquiror Company a certificate executed by an officer of the Company, certifying the satisfaction of the conditions specified in Sections 8.1, 8.2, and 8.3.
Certificate of Officer. Parent and Acquisition Corp. shall have delivered to the Company a certificate dated the Closing Date, executed on their behalf by their respective President, certifying the satisfaction of the conditions specified in paragraphs (a), (b), and (c) of this Section 7.2.
Certificate of Officer. The Company shall have delivered to the Purchasers a certificate dated the Closing Date, executed by its Chief Executive Officer, certifying the satisfaction of the conditions specified in paragraphs (a), (b), (c), (d), (e) and (h) of this Section 8.1.
Certificate of Officer. Buyer shall have delivered to Seller an officer’s certificate, dated the Closing Date and signed on behalf of Buyer by the Chief Executive Officer, President or a Vice President of Buyer certifying the fulfillment of the conditions specified in Sections 8.1 and 8.2 hereof.
Certificate of Officer. Purchaser and Merger Sub will have received a certificate executed on behalf of the Company by an officer of the Company (the “Company Closing Certificate”) representing and warranting that the conditions set forth in Sections 7.2(a), 7.2(b) and 7.2(f) have been satisfied.
Certificate of Officer. Orient Come and K’s Media will have delivered to the Acquiror Company a certificate executed by an officer of the Company, certifying the satisfaction of the conditions specified in Sections 9.1, 9.2, and 9.3 relating to the Company.
Certificate of Officer. The Company shall have delivered to the Parent a certificate, executed by the Chief Executive Officer or Chief Financial Officer of the Company, certifying that the conditions set forth in Section 7.3(a)(i) and Section 7.3(a)(ii) have been satisfied.
Certificate of Officer. The Company will have delivered to the Acquiror a certificate executed by an officer of the Company.
Certificate of Officer. The Company shall have delivered to Investor a certificate dated the Closing Date, executed by its President, certifying the satisfaction of the conditions specified in subsections (a), (b) and (c) of this Section 6.1.
