Common use of Certificate of Occupancy; Licenses Clause in Contracts

Certificate of Occupancy; Licenses. To the Best of Borrower’s Knowledge, all material certifications, permits, licenses (including, without limitation, a license to serve alcohol on the Property) and approvals, including without limitation, certificates of completion and occupancy permits required of Borrower for the legal use, occupancy and operation of the Property for hotel purposes (collectively, the “Licenses”), have been obtained and are in full force and effect. Borrower shall keep and maintain all Licenses necessary for the operation of the Property for hotel purposes. The use being made of the Property is in conformity with the certificate of occupancy issued for the Property.

To the Best of Borrower’s Knowledge, all material certifications, permits, licenses (including, without limitation, a license to serve alcohol on the Property) and approvals, including without limitation, certificates of completion and occupancy permits required of Borrower for the legal use, occupancy and operation of the Property for hotel purposes (collectively, the “Licenses”), have been obtained and are in full force and effect. Borrower shall keep and maintain all Licenses necessary for the operation of the Property for hotel purposes. The use being made of the Property is in conformity with the certificate of occupancy issued for the Property. With respect to Improvements for which no certificate of occupancy exists, the absence of a certificate of occupancy is not in violation of any Legal Requirements.

To the Best of Borrower’s KnowledgeKnowledge and except as disclosed to the Lender in writing, all material certifications, permits, licenses (including, without limitation, a license to serve alcohol on the Property) and approvals, including without limitation, certificates of completion and occupancy permits required of Borrower for the legal use, occupancy and operation of the Property for hotel purposes as a retail property or shopping center (collectively, the “Licenses”), have been obtained and are in full force and effect. Borrower shall keep and maintain all Licenses necessary for the operation of the Property for hotel purposesas a retail property or shopping center. The use being made of the Property is in conformity with the certificate of occupancy issued for the Property.

To the Best best of Borrower’s Knowledgeknowledge, all material certifications, permits, licenses (including, without limitation, a license to serve alcohol on the Property) and approvals, including without limitation, certificates of completion and occupancy permits required of Borrower for the legal use, occupancy and operation of the Property for hotel purposes by Borrower primarily as an office building (collectively, the “Licenses”), have been obtained and are in full force and effecteffect and are not subject to revocation, suspension or forfeiture. Borrower shall keep and maintain all Licenses necessary for the operation of the Property for hotel purposesprimarily as an office building. The use being made of the Property is in conformity with the certificate of occupancy issued for the Property.

To the Best of Borrower’s Knowledge, all material All certifications, permits, licenses (including, without limitation, a license to serve alcohol on the Property) and approvals, including without limitation, certificates of completion and occupancy permits and any applicable liquor license required of Borrower for the legal use, occupancy and operation of each of the Property for Properties as a hotel purposes or a hotel and office building, as applicable (collectively, the “Licenses”"LICENSES"), have been obtained and are in full force and effect. The Borrower shall keep and maintain all Licenses licenses necessary for the operation of each of the Property for Properties as a hotel purposesor a hotel and office building, as applicable. The use being made of the each Individual Property is in conformity with the certificate of occupancy issued for the such Individual Property.

To Except as expressly set forth in the Best of Borrower’s KnowledgeProperty Condition Reports, all material certifications, permits, licenses (including, without limitation, a license to serve alcohol on the Property) and approvals, including without limitation, certificates of completion and occupancy permits and any applicable liquor license required of Borrower for the legal use, occupancy and operation of the each Individual Property for as a hotel purposes (collectively, the “"Licenses”"), have been obtained and are in full force and effect. Borrower shall keep and maintain or cause to be kept and maintained all Licenses necessary for the operation of the each Individual Property for hotel purposesas a hotel. The use being made of the each Individual Property is in conformity with the certificate of occupancy issued for the such Individual Property.
