Common use of Certificate of Responsible Officer Clause in Contracts

Certificate of Responsible Officer. The Administrative Agent shall have received a certificate of a Responsible Officer of the Parent Borrower, certifying the conditions precedent set forth in Sections 4.02(a) and (b) of the Restated Credit Agreement, and in clause (d) of this Amendment, shall have been satisfied on and as of the Amendment No. 4 Effective Date. (c)

Certificate of Responsible Officer. The Administrative Agent shall have received a certificate of a Responsible Officer of the Parent BorrowerBorrower certifying that the Commitments, certifying the conditions precedent set forth in Sections 4.02(a) and (bas amended by this Amendment, comply with Section 5.09(b) of the Restated Credit Agreement, and in clause Senior Notes Indenture. (d) of this Amendment, shall have been satisfied on and as of the Amendment No. 4 Effective Date. (c)

Certificate of Responsible Officer. The Administrative Agent shall have received a certificate of a Responsible Officer of the Parent Borrower, certifying the conditions precedent set forth in Sections 4.02(a) and (b) of the Restated Credit Agreement, and in clause (d) of this Amendment, Agreement shall have been satisfied on and as of the Amendment No. 4 6 Effective Date. (c).

Certificate of Responsible Officer. Certificate of Responsible Officer. The Administrative Agent shall have received a certificate of a Responsible Officer of the Parent Borrower, certifying the conditions precedent set forth in Sections 4.02(a) and (b) of the Restated Credit Agreement, and in clause (d) of this Amendment, Section 5 shall have been satisfied on and as of the Amendment No. 4 Second Restatement Effective Date. (c).

Certificate of Responsible Officer. The Administrative Agent shall have received a certificate of a Responsible Officer of the Parent BorrowerBorrower certifying that the Commitments, certifying the conditions precedent set forth in Sections 4.02(a) and (bas amended by this Amendment, comply with Section 5.09(b) of the Restated Credit Agreement, and in clause Senior Notes Indenture (d) of this Amendment, shall have been satisfied on and as of the Amendment No. 4 Effective Date. The Administrative Agent shall have received (i) a certificate of a Responsible Officer of the Parent Borrower, certifying the conditions precedent set forth in Sections 4.02(a) and (b) of the Restated Credit Agreement, and in clause (d) of this Amendment, Agreement shall have been satisfied on and as of the Amendment No. 4 7 Effective DateDate and (ii) a certificate attesting to the Solvency of the Borrower and its Subsidiaries (taken as a whole) on the Amendment No. (c)7 Effective Date before and after giving effect to this Amendment No. 7, from the Chief Financial Officer or Treasurer of the Borrower.

Certificate of Responsible Officer. The Administrative Agent shall have received a certificate of a Responsible Officer of the Parent Borrower, certifying the conditions precedent set forth in Sections 4.02(a) and (b) of the Restated Credit Agreement, and in clause (d) of this Amendment, Section 4 shall have been satisfied on and as of the Amendment No. 4 Third Restatement Effective Date. (c).

Certificate of Responsible Officer. The Administrative Agent shall have received (i) a certificate of a Responsible Officer of the Parent Borrower, certifying that the conditions precedent set forth in Sections 4.02(a) and (b) Section 4.03 of the Restated Original Credit Agreement, and in clause (d) of this Amendment, Agreement shall have been satisfied on and as of the Amendment No. 4 and Restatement Effective Date. Date and (c)ii) a solvency certificate from the chief financial officer of the Borrower (after giving effect to the Term Loan Transactions) substantially in the form attached as Exhibit K to the Original Credit Agreement.

Certificate of Responsible Officer. The U.S. Administrative Agent shall have received a certificate of executed by a Responsible Officer of the Parent Borrower, certifying Specified U.S. Borrower to the effect that the conditions precedent set forth in Sections Section 4.02(a) and (b) of the Restated Credit Agreement, and in clause (d) of this Amendment, Agreement shall have been satisfied on and as of the Amendment No. 4 Effective Date. (c)date hereof.

Certificate of Responsible Officer. The Administrative Agent shall have received a certificate of a Responsible Officer of the Parent Borrower, certifying the conditions precedent set forth in Sections 4.02(a) and (b) of the Restated Credit Agreement, and in clause (d) of this Amendment, Agreement shall have been satisfied on and as of the Amendment No. 4 Effective Date and the Third Restatement Effective Date. (c).

Certificate of Responsible Officer.
