Certificate of Secretary of each Borrower. The Administrative ----------------------------------------- Agent shall have received a certificate of the secretary or assistant secretary of each Borrower certifying, as applicable, that attached thereto is a true and complete copy of the articles of incorporation or other charter documents of such Borrower and all amendments thereto (such charter documents, in the case of each New Subsidiary, shall be certified as of a recent date by the appropriate Governmental Authority in its jurisdiction of incorporation for each New Subsidiary); that attached thereto is a true and complete copy of the bylaws of such Borrower as in effect on the date of such certification; that attached thereto is a true and complete copy of resolutions duly adopted by the Board of Directors of such Borrower, authorizing the borrowings contemplated hereunder and the execution, delivery and performance of this Agreement and the other Loan Documents to which it is a party; and as to the incumbency and genuineness of the signature of each officer of such Borrower executing Loan Documents to which such Borrower is a party.

The Administrative ----------------------------------------- Agent shall have received a certificate of the secretary or assistant secretary of each Borrower certifying, certifying as applicable, to the incumbency and genuineness of the signature of each officer of such Borrower executing Loan Documents to which it is a party and certifying that attached thereto is a true true, correct and complete copy of (A) the articles or certificate of incorporation incorporation, or other charter documents articles of organization, of such Borrower and all amendments thereto (such charter documentsthereto, in the case of each New Subsidiary, shall be certified as of a recent date by the appropriate Governmental Authority in its jurisdiction of incorporation for each New Subsidiary); that attached thereto is a true and complete copy of incorporation, (B) the bylaws or the operating agreement of such Borrower as in effect on the date of such certification; that attached thereto is a true and complete copy certifications, (C) resolutions or other evidence of resolutions authorization duly adopted by the Board board of Directors directors or manager of such Borrower, Borrower authorizing the borrowings contemplated hereunder and the execution, delivery and performance of this Agreement and the other Loan Documents to which it is a party; , and as (D) each certificate required to the incumbency and genuineness of the signature of each officer of such Borrower executing Loan Documents be delivered pursuant to which such Borrower is a partySection 4.2(b)(iii).
