Common use of Certificate of Secretary of Purchaser Clause in Contracts

Certificate of Secretary of Purchaser. Shareholder shall have been provided with a certificate executed by the Secretary or Assistant Secretary of Purchaser certifying: (A) resolutions duly adopted by the Board of Directors of Purchaser authorizing the execution of this Agreement and the execution, performance and delivery of all agreements, documents and transactions contemplated hereby; and (B) the incumbency of the officers of Purchaser executing this Agreement and all agreements and documents contemplated hereby.

Certificate of Secretary of Purchaser. Shareholder The Shareholders shall have been provided with received a certificate certificate, validly executed by the Secretary or Assistant Secretary of Purchaser certifying: Purchaser, certifying as to (Ai) the terms and effectiveness the articles of incorporation and the bylaws of Purchaser, and (ii) the valid adoption of resolutions duly adopted by of the Board of Directors of Purchaser authorizing the execution of approving this Agreement and the execution, performance and delivery consummation of all agreements, documents and the transactions contemplated hereby; and (B) the incumbency of the officers of Purchaser executing this Agreement and all agreements and documents contemplated hereby.
