Common use of Certificate of Secretary of the Guarantors Clause in Contracts

Certificate of Secretary of the Guarantors. The Administrative Agent shall have received a certificate of the secretary or assistant secretary of each Guarantor certifying as to the incumbency and genuineness of the signature of each officer of each Guarantor executing Loan Documents to which it is a party, certifying that attached thereto is a true, complete and correct copy of (A) the articles of organization, the articles of incorporation or such other charter documents of such Guarantor and all amendments thereto, certified as of a recent date by the appropriate Governmental Authority in its jurisdiction of organization or incorporation, (B) the operating agreement, the bylaws or such other applicable documents governing management of such Guarantor as in effect on the date of such certification, (C) resolutions duly adopted by the Board of Directors of such Guarantor authorizing the execution, delivery and performance of the Loan Documents to which it is a party and (D) each certificate required to be delivered pursuant to Section 4.2(b)(v).
