Certificate of Transferee. At the Closing, Transferee shall have delivered to Transferor an Officer's Certificate signed by the President or a Vice President of Transferee, and dated the Closing Date, to the effect that to the best of the knowledge of such officer the conditions specified in Section 6.2(a), (b), (c) and (d) have been fulfilled.
