Common use of Certificates of Euroclear and Clearstream, Luxembourg Clause in Contracts

Certificates of Euroclear and Clearstream, Luxembourg. Without prejudice to the provisions of Clause 16(W), the relevant Obligors and the Trustee may call for and, except in the case of manifest error, shall be at liberty to accept and place full reliance on as sufficient evidence thereof a certificate or other document issued by Euroclear or Clearstream, Luxembourg (including any form of statement or print out of electronic records provided by the relevant clearing system in accordance with its usual procedures and in which the holder of a particular nominal amount of the Notes is clearly identified together with the amount of such holding) or any other letter of confirmation, form of record, information and/or certification made by either of them as the Trustee shall, in its absolute discretion, think fit to the effect that at any particular time or throughout any particular period any particular person is, was, or will be, shown in its records as the holder of a particular nominal amount of Notes represented by a Global Note and if it does so rely, such letter of confirmation, form of record, evidence, information and/or certification shall be conclusive and binding on all concerned.
