Common use of Certificate(s) of Secretary or Assistant Secretary Clause in Contracts

Certificate(s) of Secretary or Assistant Secretary. Separate certificates executed by the corporate secretary or assistant secretary of TAL and the Issuer, each dated the Closing Date, certifying (i) that the respective company has the authority to execute and deliver, and perform its respective obligations under each of the Series 2011-1 Transaction Documents to which it is a party, and (ii) that attached are true, correct and complete copies of the organizational documents, authorizations and incumbency certificates in form and substance satisfactory to the Series 2011-1 Noteholders as to such matters as they shall require.

Separate certificates executed by the corporate secretary or assistant secretary of TAL the Seller, the Manager, and the Issuer, each dated the Closing Date, certifying (i) that the respective company has the authority to execute and deliver, and perform its respective obligations under each of the Series 20112006-1 2 Transaction Documents to which it is a party, and (ii) that attached are true, correct correct, and complete copies of the organizational organic documents, authorizations authorizations, and incumbency certificates in form and substance satisfactory to the Series 20112006-1 Noteholders 2 Noteholders, as to such matters as they shall require.
