Common use of Certification as to Representations and Warranties Clause in Contracts

Certification as to Representations and Warranties. The Originator, by accepting the Purchase Price (including by the increase in the outstanding balance of the Company Note) related to each purchase of Receivables and Related Rights shall be deemed to have certified that the representations and warranties contained in Article V are true and correct on and as of such day, with the same effect as though made on and as of such day.

Certification as to Representations and Warranties. The Each Originator, by accepting the Purchase Price (including by the increase in the outstanding balance of the Company Note) related to each purchase of Purchased Receivables generated by such Originator and Related Rights listed in a Purchase Report, shall be deemed to have certified that the representations and warranties contained in Article V are true and correct on and as of such day, with the same effect as though made on and as of such day.
