Responsibilities of the Originator. Anything herein to the contrary notwithstanding: (a) The Originator agrees to deliver directly to the Servicer (for the Buyer’s account), within one Business Day after receipt thereof, any Cartus Collections or CFC Collections that it receives, in the form so received, and agrees that all such Cartus Collections and CFC Collections will be deemed to be received in trust for the Buyer and its assignees and will be maintained and segregated separate and apart from all other funds and moneys of the Originator until delivery of such Cartus Collections and CFC Collections to the Servicer; and (b) The Originator hereby grants to the Buyer an irrevocable power of attorney, with full power of substitution, coupled with an interest, to take in the name of the Originator all steps necessary or advisable to endorse, negotiate or otherwise realize on any writing or other right of any kind held or transmitted by the Originator or transmitted or received by the Buyer (whether or not from the Originator) in connection with any Cartus Purchased Asset (which power of attorney may be exercised by the Buyer’s successors and assigns in accordance with Section 8.4 and Section 11.12(b)). (c) The Originator shall perform all of its obligations hereunder and under the Pool Relocation Management Agreements and other Contracts related to the Cartus Purchased Assets to which it is a party (other than those obligations undertaken by the Buyer as provided in Section 7.4(b)) to the same extent as if such Cartus Purchased Assets had not been sold hereunder, and the exercise by the Buyer or its designee or assignee of the Buyer’s rights hereunder or in connection herewith shall not relieve the Originator from any of its obligations under any such Pool Relocation Management Agreements or Contracts related to the Cartus Purchased Assets to which it is a party. Notwithstanding the foregoing, the Originator acknowledges that the Buyer or its designees are entitled to perform such obligations to the extent permitted under the Transaction Documents.

Responsibilities of the Originator. Anything herein to the contrary notwithstanding: (a) each Originator agrees to deliver directly to the Servicer (for the Initial Purchaser's account), within two (2) Business Days of receipt thereof, any Collections that it receives, in the form so received, and agrees that all Collections shall be deemed to be received in trust for the Initial Purchaser and shall be maintained and segregated separate and apart from all other funds and moneys of such Originator until delivery of the Collections to the Servicer; (b) each Originator agrees to instruct (i) all Obligors to cause all Collections to be sent to a Lock-Box that is the subject of a Lock-Box Agreement and (ii) each Lock-Box Bank to (c) each Originator shall (i) perform all of its obligations hereunder and under the Contracts related to the Pool Receivables and Related Rights (and under its agreements with the Lock-Box Banks) to the same extent as if the Pool Receivables and Related Rights had not been sold hereunder, and the exercise by the Initial Purchaser or its designee or assignee of the Initial Purchaser's rights hereunder or in connection herewith shall not relieve such Originator from such obligations and (ii) pay when due any taxes, including, without limitation, any sales taxes payable in connection with the Pool Receivables and their creation and satisfaction. Notwithstanding anything to the contrary in this Agreement, none of the Initial Purchaser, the Administrator or the Purchaser shall have any obligation or liability with respect to any Receivable or Related Rights nor shall any of them be obligated to perform any of the obligations of any Originator under any of the foregoing.

(c) The Originator hereby grants to the Buyer and the Administrative Agent an irrevocable power-of-attorney, with full power of substitution, coupled with an interest, during the occurrence and continuation of an Event of Default to take in the name of the Originator all steps necessary or advisable to endorse, negotiate or otherwise realize on any writing or other right of any kind held or transmitted by the Originator or transmitted or received by the Buyer or the Administrative Agent (whether or not from the Originator) in connection with any Receivable sold, contributed or otherwise conveyed or purported to be conveyed by it hereunder or Related Right.

Responsibilities of the Originator. Notwithstanding anything herein to the contrary (a) Originator shall perform all its obligations under the Collection Policy related to the Receivables to the same extent as if such Receivables had not been transferred to Purchaser hereunder, (b) the exercise by Purchaser of any of its rights hereunder shall not relieve Originator from its obligations with respect to the Receivables and (c) except as provided by law, Purchaser shall not have any obligation or liability with respect to any Receivables or the underlying Contracts, nor shall Purchaser be obligated to perform any of the obligations or duties of Originator thereunder. Originator hereby agrees to act as subservicer with respect to all Receivables conveyed by Originator to Purchaser hereunder and, with respect thereto shall be a "subservicer" under the Loan Agreement. Accordingly, in connection with such Receivables conveyed by Originator to Purchaser hereunder, Originator hereby assumes all of the responsibilities and obligations under the Loan Agreement of the Servicer with respect to the servicing of all Receivables conveyed by it to Purchaser hereunder.
Responsibilities of the Originator. Notwithstanding anything herein to the contrary (i) each of the Originator and the Initial Seller shall perform all its obligations under the Credit and Collection Policy related to the Purchased Receivables to the same extent as if such Purchased Receivables had not been transferred to the Purchaser hereunder, (ii) the exercise by the Purchaser of any of its rights hereunder shall not relieve the Originator or the Initial Seller from its obligations with respect to such Purchased Receivables and (iii) except as provided by law, the Purchaser shall not have any obligation or liability with respect to any Purchased Receivables or the underlying Contracts, nor shall the Purchaser be obligated to perform any of the obligations or duties of the Originator or the Initial Seller thereunder.
Responsibilities of the Originator. Save as otherwise provided herein, the Originator shall perform all of its obligations related to the Purchased Receivables to the same extent as if such Purchased Receivables had not been sold hereunder and the exercise by the Purchaser of its rights hereunder shall not relieve the Originator from such obligations.
