Responsibilities of the Originator. Anything herein to the contrary notwithstanding:
Responsibilities of the Originator. Anything herein to ---------------------------------- the contrary notwithstanding, the exercise by the Buyer (or its assignees) of its rights hereunder shall not release the Sub-Servicer or the Originator from any of their duties or obligations with respect to any Receivables or under the related Contracts. Neither the Buyer nor any of its assignees (including any Servicer) shall have any obligation or liability with respect to any Receivables or related Contracts, nor shall any of them be obligated to perform the obligations of the Originator.
Responsibilities of the Originator. Anything herein to the contrary notwithstanding, the Originator shall (i) perform all of its obligations under the Contracts related to the Receivables transferred by it hereunder to the same extent as if such Receivables had not been transferred hereunder and the exercise by the Purchaser of its rights hereunder shall not relieve the Originator from such obligations and (ii) pay when due all sales, excise and personal property taxes payable in connection with the Purchased Receivables.
Responsibilities of the Originator. Notwithstanding anything ---------------------------------- herein to the contrary (i) the Originator shall perform all its obligations under the Collection Policy related to the Receivables to the same extent as if such Receivables had not been transferred to the Purchaser hereunder, (ii) the exercise by the Purchaser of any of its rights hereunder shall not relieve the Originator from its obligations with respect to the Receivables and (iii) except as provided by law, the Purchaser shall not have any obligation or liability with respect to any Receivables or the underlying Contracts, nor shall the Purchaser be obligated to perform any of the obligations or duties of the Originator thereunder.
Responsibilities of the Originator. Notwithstanding anything herein to the contrary (a) Originator shall perform all its obligations under the Collection Policy related to the Receivables to the same extent as if such Receivables had not been transferred to Purchaser hereunder, (b) the exercise by Purchaser of any of its rights hereunder shall not relieve Originator from its obligations with respect to the Receivables and (c) except as provided by law, Purchaser shall not have any obligation or liability with respect to any Receivables or the underlying Contracts, nor shall Purchaser be obligated to perform any of the obligations or duties of Originator thereunder. Originator hereby agrees to act as subservicer with respect to all Receivables conveyed by Originator to Purchaser hereunder and, with respect thereto shall be a "subservicer" under the Loan Agreement. Accordingly, in connection with such Receivables conveyed by Originator to Purchaser hereunder, Originator hereby assumes all of the responsibilities and obligations under the Loan Agreement of the Servicer with respect to the servicing of all Receivables conveyed by it to Purchaser hereunder.

Anything herein to ---------------------------------- the contrary notwithstanding, the Originator shall (i) perform all of the Originator's obligations under the Contracts related to the Receivables to the same extent as if the Receivables had not been sold under the Receivables Purchase Agreement and interests in such Receivables had not been sold hereunder and the exercise by the Funding Agent, PARCO and the APA Banks of their rights hereunder and under the Receivables Purchase Agreement shall not relieve the Originator from such obligations and (ii) pay when due any taxes, including without limitation, any sales taxes payable in connection with the Receivables and their creation and satisfaction. Neither the Funding Agent, PARCO nor any of the APA Banks shall have any obligation or liability with respect to any Receivable or related Contracts, nor shall it be obligated to perform any of the obligations of the Originator thereunder.

Save as otherwise provided herein, the Originator shall perform all of its obligations related to the Purchased Receivables to the same extent as if such Purchased Receivables had not been sold hereunder and the exercise by the Purchaser of its rights hereunder shall not relieve the Originator from such obligations.

Anything herein to the contrary notwithstanding, the Originator shall (i) perform all of its obligations under the Contracts to the same extent as if such Contracts had not been transferred to the Buyer under this Originator Purchase Agreement and the exercise by the Buyer or its assigns of their respective rights hereunder shall not relieve Originator from such obligations and (ii) pay when due any taxes, including without limitation, sales, excise and personal property taxes payable in connection with the Transferred Assets, unless the Originator is contesting the payment of such taxes in good faith and by appropriate proceedings and with respect to which no Adverse Claim has been asserted or filed.

Anything herein to the contrary notwithstanding, the Originator shall (a) perform all of the Originator's obligations under the Contracts related to the Receivables to the same extent as if the Receivables had not been sold under the Receivables Purchase Agreement and interests in such Receivables had not been sold hereunder and the exercise by the Funding Agent, the Group Agents, the Conduits or the APA Banks of their rights hereunder and under the Receivables Purchase Agreement shall not relieve the Originator from such obligations and (b) pay when due any taxes, including without limitation, any sales taxes payable in connection with the Receivables and their creation and satisfaction. Neither the Funding Agent, the Group Agents, the Conduits nor any of the APA Banks shall have any obligation or liability with respect to any Receivable or related Contracts, nor shall it be obligated to perform any of the obligations of the Originator thereunder.
Responsibilities of the Originator. Subject to the Servicer’s rights and responsibilities under the Receivables Financing Agreement, the Originator shall perform all of its obligations under the Contracts related to the Receivables to the same extent as if interests in the Receivables had not been transferred hereunder. The Administrative Agent’s, Buyer’s or any Secured Party’s exercise of any rights hereunder or under the Receivables Financing Agreement shall not relieve the Originator from such obligations. Neither the Administrative Agent, the Buyer, nor any Secured Party shall have any obligation to perform any obligation of the Originator in connection with the Receivables.
