Common use of Certification by the Trustee Clause in Contracts

Certification by the Trustee. (a) No Warrant Certificate shall be issued or, if issued, shall be valid for any purpose or entitle the holder to the benefit hereof until it has been certified by manual signature by or on behalf of the Trustee and such certification by the Trustee upon any Warrant Certificate shall be conclusive evidence as against the Corporation that the Warrant Certificate so certified has been duly issued hereunder and that the holder is entitled to the benefits hereof. (b) Warrant Certificates shall be certified by, or on behalf of, the Trustee upon the written order of the Corporation and delivered by the Trustee to the Corporation in accordance with the written direction of the Corporation. The certification of the Trustee on Warrant Certificates issued hereunder shall not be construed as a representation or warranty by the Trustee as to the validity of this Indenture or the Warrant Certificates (except the due certification thereof) and the Trustee shall in no respect be liable or answerable for the use made of the Warrant Certificate or any of them or of the consideration therefor except as otherwise specified herein. The countersignature of the Trustee will, however, be a representation and warranty of the Trustee that the Warrant Certificate has been duly countersigned by or on behalf of the Trustee pursuant to the provisions of this Indenture.

Certification by the Trustee. (a) No Warrant Certificate Note shall be issued or, if issued, shall be valid for any purpose obligatory or entitle the holder to the benefit hereof until it has been certified by manual signature by or on behalf of the Trustee substantially in the form of the certificate set out in Schedule A hereto or in some other form approved by the Trustee and such certification by the Trustee upon any Warrant Certificate Note shall be conclusive evidence as against the Corporation that the Warrant Certificate Note so certified has been duly issued hereunder and that the holder is entitled to the benefits hereof. (b) Warrant Certificates shall be certified by, or on behalf of, the Trustee upon the written order of the Corporation and delivered by the Trustee to the Corporation in accordance with the written direction a valid obligation of the Corporation. The certification certificate of the Trustee on Warrant Certificates Notes issued hereunder shall not be construed as a representation or warranty by the Trustee as to the validity of this Indenture or of the Warrant Certificates Notes (except the due certification thereof) or of the Corporation's compliance with its covenants and obligations hereunder and the Trustee shall in no respect be liable or answerable for the use made of the Warrant Certificate Notes or any of them or of the consideration therefor except proceeds thereof. In connection with the certification and delivery of Notes pursuant to this Article Two, the Trustee shall not be bound to make any inquiry or investigation as otherwise specified herein. The countersignature to the correctness of the Trustee will, however, be a representation and warranty matters set out in any of the Trustee that the Warrant Certificate has been duly countersigned resolutions, certificates, opinions or other documents required by or on behalf of the Trustee pursuant to the provisions of this IndentureIndenture but the Trustee is entitled to act and rely upon the same.

Certification by the Trustee. (a) The Trustee shall certify Convertible Note Certificates upon the written direction of the Corporation. No Warrant Convertible Note Certificate shall be issued or, if issued, shall be valid for any purpose or entitle the holder to the benefit hereof of this Indenture until it has been certified by manual signature by or on behalf of the Trustee substantially in the form of the certificate set out in Schedule "A" and such certification by the Trustee upon any Warrant Convertible Note Certificate shall be conclusive evidence as against the Corporation that the Warrant Convertible Note Certificate so certified has been duly issued hereunder and that the holder is entitled to the benefits hereofof this Indenture. (b) Warrant Certificates shall be certified by, or on behalf of, the Trustee upon the written order of the Corporation and delivered by the Trustee to the Corporation in accordance with the written direction of the Corporation. The certification of the Trustee on Warrant Certificates a Convertible Note Certificate issued hereunder shall not be construed as a representation or warranty by the Trustee as to the validity of this Indenture or the Warrant Certificates Convertible Note Certificate (except the due certification thereof) and the Trustee shall in no respect be liable or answerable for the use made of the Warrant Convertible Note Certificate or any of them or of the consideration therefor except as otherwise specified herein. The countersignature of the Trustee will, however, be a representation and warranty of the Trustee that the Warrant Certificate has been duly countersigned by or on behalf of the Trustee pursuant to the provisions of this Indenture.

In connection with the certification and delivery of Notes pursuant to this Article 2, the Trustee shall not be bound to make any inquiry or investigation as otherwise specified herein. No Special Warrant Certificate shall be issued or, if issued, shall be valid for any purpose or entitle the holder to the benefit hereof until it has been certified by manual signature by or on behalf of the Trustee substantially in the form approved by the Company and such the Trustee and the certification by the Trustee upon any Special Warrant Certificate shall be conclusive evidence as against the Corporation Company that the Special Warrant Certificate so certified has been duly issued hereunder and that the holder is entitled to the benefits hereofattributes and characteristics of the Special Warrants provided for in this Indenture. (b) Warrant Certificates shall be certified by, or on behalf of, the Trustee upon the written order of the Corporation and delivered by the Trustee to the Corporation in accordance with the written direction of the Corporation. .2 The certification of the Trustee on Special Warrant Certificates issued hereunder shall not be construed as a representation or warranty by the Trustee as to the validity of this Indenture or of the Special Warrant Certificates (except the due certification thereof) and the Trustee shall in no respect be liable or answerable for the use made of the Special Warrants or the Special Warrant Certificate Certificates or any of them or of the consideration therefor therefor, except as otherwise specified herein. The countersignature of the Trustee will, however, be a representation and warranty of the Trustee that the Warrant Certificate has been duly countersigned by or on behalf of the Trustee pursuant to the provisions of this Indenture.ARTICLE THREE
