Common use of Certification, discretion Clause in Contracts

Certification, discretion. Where the Services to be provided by the LRT Consultant include the obligation to certify or to exercise discretion or quasi-arbitrational functions in carrying out the Services, the LRT Consultant shall be obliged to exercise such obligations, discretions and functions in an independent professional manner acting with the same reasonable skill, care and diligence (as detailed below) and with regard to all the interests involved.
