The Sub-Adviser acknowledges that, in compliance with the Sxxxxxxx-Xxxxx Act of 2002 (the “Sxxxxxxx-Xxxxx Act”), and the implementing regulations promulgated thereunder, the Trust and the Fund are required to make certain certifications and have adopted disclosure controls and procedures. To the extent reasonably requested by the Trust, the Sub-Adviser agrees to use its best efforts to assist the Trust and the Fund in complying with the Sxxxxxxx-Xxxxx Act and implementing the Trust’s disclosure controls and procedures. The Sub-Adviser agrees to inform the Trust of any material development related to the Fund that the Sub-Adviser reasonably believes is relevant to the Fund’s certification obligations under the Sxxxxxxx-Xxxxx Act.

To the extent reasonably requested by the Trust, the Sub-Adviser agrees parties hereto agree to use its best their commercially reasonable efforts to assist the Trust and the each Fund in complying with the SxxxxxxxXxxxxxxx-Xxxxx Act and implementing the Trust’s disclosure controls and procedures. The Sub-Adviser agrees to inform the Adviser and the Trust of any material development related to the services it provides to a Fund that the Sub-Adviser reasonably believes is relevant to the Fund’s certification obligations under the SxxxxxxxXxxxxxxx-Xxxxx Act.
