Certified Charter. The Company shall have delivered to the Purchaser a copy of the Company Charter, as in effect as of immediately prior to the Effective Time, certified by the Secretary of State of the State of Delaware as of a date no more than ten (10) Business Days prior to the Closing Date.
Certified Charter. The Placement Agent shall have received a certified copy of the Certificate of Incorporation of the Company as certified by the Delaware Secretary of State within ten (10) days of each Closing Date.
Certified Charter. The Company shall have delivered to the Purchaser a copy of the Company Charter, as in effect as of immediately prior to the Effective Time, certified by the Registry of Corporate Affairs of the British Virgin Islands as of a date no more than ten (10) Business Days prior to the Closing Date.
Certified Charter. The Company shall have delivered to the Purchaser and the Parent a copy of the Company Charter, as in effect as of the Closing, certified by the appropriate Governmental Authority as of a date no more than ten (10) Business Days prior to the Closing Date.
Certified Charter. The Company shall have delivered to the Underwriter at the Time of Purchase and at the Additional Time of Purchase, as the case may be, a certified copy of the Certificate of Incorporation of the Company as certified by the Secretary of State of the state of Delaware within five calendar days of the Time of Purchase and Additional Time of Purchase, as the case may be.
Certified Charter. A copy of the charter of the Company, certified as of a recent date by the appropriate Governmental Entity of the jurisdiction of incorporation of the Company. (f)
Certified Charter. On the Closing Date, the Company shall have delivered to the Placement Agents a certified copy of the Certificate of Incorporation of the Company as certified by the Secretary of State of the State of Delaware as of a recent date.
Certified Charter. A certified copy of the Certificate of Incorporation (or equivalent operational document) of the Company, certified by the Secretary of State of Delaware, as of a date no earlier than ten (10) days prior to the Closing.

Certified Charter. On the Closing Date, the Company shall have delivered to the Placement Agent a certified copy of the Articles of Incorporation of the Company as certified by the Secretary of State of the state of Nevada as of a date within three (3) calendar days of the Closing Date.
