Please confirm that the foregoing correctly sets forth our agreement by signing and returning to the Placement Agents the enclosed copy of this Agreement.
The liability of the Placement Agents and such other persons hereunder shall in no event exceed the aggregate amount of fees actually received by the Placement Agents pursuant to this Agreement (excluding any reimbursable expenses).
In no event shall the Placement Agents or any of their affiliates, directors, officers, employees, or controlling persons (within the meaning of Section 15 of the Securities Act, or Section 20 of the Exchange Act) be liable to the Company for any incidental, indirect, special or consequential damages (including lost profits) arising out of or in connection with this Agreement, whether or not such party was advised of the possibility of such damages.

In connection with the issuance of the Securities to such Purchaser, neither the Placement Agents nor any of its affiliates has acted as a financial advisor or fiduciary to such Purchaser.
