Common use of Certified Corporate Resolutions Clause in Contracts

Certified Corporate Resolutions. The Purchaser shall have received a certificate of the Secretary or Assistant Secretary of each Note Party, dated the date of the Closing, certifying as to the resolutions attached thereto and other corporate proceedings relating to the authorization, execution and delivery of the Note, this Agreement and the other Note Documents, respectively.
