A copy of (i) the resolutions of the board of directors of Buyer, certified as being correct and complete and then in full force and effect, authorizing the execution, delivery and performance of this Agreement and the consummation of the transactions contemplated hereby and (ii) a copy of the certificate of incorporation and by-laws of Buyer, certified by the corporate secretary of Buyer as being true, correct and complete as of the Closing Date.
