Common use of Certified Resolutions Clause in Contracts

Certified Resolutions. Seller shall have received a certificate of a duly authorized officer of Buyer, dated as of the Closing Date, setting forth the resolutions of the board of directors of Buyer authorizing the execution and delivery of this Agreement and the consummation of the transaction contemplated hereby, and certifying that such resolutions were duly adopted and have not been rescinded or amended as of the Closing Date.

Certified Resolutions. Seller Buyer shall have received a certificate of a duly authorized officer the Secretary or an Assistant Secretary of BuyerSeller, dated as of the Closing Date, setting forth the resolutions of the board of directors of Buyer Seller authorizing the execution and delivery of this Agreement and the consummation of the transaction transactions contemplated hereby, and certifying that such resolutions were duly adopted and have not been rescinded or amended as of the Closing Date.
