Common use of Certified Resolutions Clause in Contracts

Certified Resolutions. A copy of the approval of the boards of directors of Seller, certified as being correct and complete and then in full force and effect, authorizing the execution, delivery and performance of this Agreement, and of the other Seller Documents, and the consummation of the transactions contemplated hereby and thereby.

Certified Resolutions.
