CFO Certificates. On the date hereof and on the Closing Date, the Underwriter shall have received a certificate of the Company, dated the date hereof and the Closing Date and addressed to the Underwriter, signed on behalf of the Company by its Chief Financial Officer, regarding certain information in the General Disclosure Package and in form and substance reasonably satisfactory to the Underwriter and its counsel.
CFO Certificates. On the date hereof and on each Closing Date, the Representatives shall have received a certificate of the Company, dated the date hereof and such Closing Date and addressed to the Underwriters, signed on behalf of the Company by its Chief Financial Officer, regarding certain information in the General Disclosure Package and in form and substance reasonably satisfactory to the Underwriters and their counsel.
CFO Certificates. The Representative shall have received certificates, dated the date hereof and the Closing Date, signed by the chief financial officer of the Company in his capacity as such on behalf of the Company, in the form previously agreed among the parties hereto.
CFO Certificates. The Representative shall have received written certificates in the form agreed to by the Representative on or prior to the date hereof, dated, respectively, the date hereof and such Closing Date, executed by the Chief Financial Officer of the Company. The Selling Stockholder and the Company will furnish the Representative with such conformed copies of such opinions, certificates, letters and documents as the Representative reasonably request. The Representative may in their sole discretion waive on behalf of the Underwriters compliance with any conditions to the obligations of the Underwriters hereunder, whether in respect of an Optional Closing Date or otherwise.
CFO Certificates. At each of the time of the execution of this Underwriting Agreement and the Closing Time, the Representative shall have received a certificate of the Company executed by the Chief Financial Officer of the Company in form and substance reasonably satisfactory to counsel for the Underwriters.
CFO Certificates. On the date of this Agreement, the Company shall have furnished to the Representative a certificate, dated the date hereof and addressed to the Representative, of its chief financial officer with respect to certain financial data, providing “management comfort” with respect to such information, in form and substance reasonably satisfactory to the Representative, to the effect set forth in Exhibit C hereto. At the Closing Time, the Company shall deliver to the Representative a certificate, dated as of the Closing Time and addressed to the Representative, of its chief financial officer re-affirming the statements in the certificate delivered pursuant to the foregoing sentence.
CFO Certificates. At the Execution Time and at the Closing Time, the Representative shall have received from the Chief Financial Officer (or such other officer satisfactory to the Representative) of the Company a certificate, dated as of the date hereof and as of the Closing Date, respectively, with respect to certain financial, numerical or statistical data, in each case not covered by the comfort letter referred to in Section 6(f) or 6(g) hereof, respectively, in form and substance reasonably satisfactory to the Representative.
CFO Certificates. On the date hereof and on the Closing Date, the Representative shall have received certificate of the Issuer, dated the date hereof and the Closing Date and addressed to the Initial Purchasers, signed on behalf of the issuer by its Chief Financial Officer, regarding certain information in the Time of Sale Information and the Offering Circular, as applicable, and in form and substance reasonably satisfactory to the Initial Purchasers and their counsel. All opinions, letters, certificates and evidence mentioned above or elsewhere in this Agreement shall be deemed to be in compliance with the provisions hereof only if they are in form and substance reasonably satisfactory to counsel for the Initial Purchasers.
CFO Certificates. On each of the date hereof and the Closing Date, the Representative, on behalf of the Initial Purchasers, shall have received a certificate of the Parent Guarantor, dated the date hereof and the Closing Date, respectively, substantially in the form set forth in Schedule E hereto.
CFO Certificates. At the time this Agreement is executed, on the Closing Date and on each Option Closing Date (should the letter delivered by the Auditor on such Option Closing Date pursuant to Section 4.3.2 not provide negative assurance comfort to a cut-off date not more than three business days prior to such Option Closing Date), the Representative shall have received a certificate of the chief financial officer of the Company dated such date certifying as to such matters and in form and substance as the Representative may reasonably request.
