On the date hereof and on the Closing Date, the Underwriter shall have received a certificate of the Company, dated the date hereof and the Closing Date and addressed to the Underwriter, signed on behalf of the Company by its Chief Financial Officer, regarding certain information in the General Disclosure Package and in form and substance reasonably satisfactory to the Underwriter and its counsel.
