Common use of CFO’s Certificate Clause in Contracts

CFO’s Certificate. On each of the date hereof and the Closing Date, the Representatives shall have received a certificate of the Chief Financial Officer of the Company, dated the date hereof or the Closing Date, as applicable, relating to certain financial information included or incorporated by reference in the Time of Sale Prospectus and the Prospectus, substantially in the form of Exhibit C attached hereto.

On each of the date hereof and on the First Closing Date and each applicable Option Closing Date, the Representatives shall have received a certificate of receive from the Company’s Chief Financial Officer of the Company, dated the date hereof or the Closing Date, as applicable, relating a certificate with respect to certain financial information included or incorporated by reference contained in the Registration Statement, the Preliminary Prospectus, Time of Sale Prospectus Prospectus, and each free writing prospectus, if any, and the Prospectus, substantially in form and substance reasonably satisfactory to the form of Exhibit C attached heretoRepresentatives.
