Change in Company Recommendation. Notwithstanding anything to the contrary herein, in the event that the Board of the Directors of the Company (the “Company Board”) makes a Xxxxxx Adverse Recommendation Change in accordance with Section 9.02 of the Merger Agreement, the Holder shall not be obligated to vote the Shares in accordance with Section 3.1.
