Change in Constitution of Buyer. Buyer shall not change its constitution or change its shareholding or ownership structure. Any such change is to be effected only after prior written approval for the same is granted by the Seller, which consent shall not be unreasonably withheld, and the same is embodied in an appropriate written amendment to or assignment of this Agreement, as the case may be, duly executed and delivered by the Buyer and the Seller. In the event, Xxxxxx’s prior written approval is not provided, then Seller will have the right to terminate this Agreement.

  • Governing Law; Interpretation This Agreement shall be interpreted and enforced under the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles.
