Change in Status Etc. Your obligations and Liabilities under this Agreement and/or any Applicable Agreement shall continue to be in full force and effect and be binding on you notwithstanding:

Change in Status Etc. A change in the Executive’s status, title, position or responsibilities (including reporting responsibility), which, in the Executive’s reasonable judgment, represents a demotion from his status, title, position or responsibilities as in effect immediately prior thereto; the assignment to the Executive of any duties or responsibilities, which, in the Executive’s reasonable judgment, are inconsistent with such status, title, position, or responsibilities or any removal of the Executive from or failure to re-appoint Executive to any such positions, except in connection with the termination of Executive’s employment pursuant to Section 3.1, 3.2, 3.3, or 3.4 hereof.

  • Change in Status ‌ In the event of any substantive change in its legal status, organizational structure, or fiscal reporting responsibility, Contractor will notify HCA of the change. Contractor must provide notice as soon as practicable, but no later than thirty (30) calendar days after such a change takes effect.

The amounts specified in Section 5 that are to be paid under this Section 5(h) shall be reduced by any amount previously paid under Section 4. The amounts to be paid under this Section 5(h) shall be paid within sixty (60) days after the Change in Control Date of such Change in Control.

  • Termination without Cause or Resignation for Good Reason in Connection with a Change in Control If the Company terminates Executive’s employment with the Company without Cause (excluding death or Disability) or if Executive resigns from his or her employment for Good Reason, and, in each case, such termination date occurs during the Change in Control Period, then Executive will receive the Accrued Benefits and, subject to Sections 5 through 7, below, Executive will be eligible to receive the following:
