Common use of Change of Name or Place of Business Clause in Contracts

Change of Name or Place of Business. Permit any Credit Party or any of its Subsidiaries to change its address, name, jurisdiction of organization, location of its chief executive office or principal place of business or the place it keeps its material books and records, unless such Credit Party has (a) notified the Agent and the Collateral Agent of such change in writing at least thirty (30) days before the effective date of such change, (b) taken such action, reasonably satisfactory to the Collateral Agent, to have caused the Liens against all Collateral in favor of the Collateral Agent for the ratable benefit of the Lenders to be at all times fully perfected and in full force and effect and (c) delivered such certificates from Governmental Authorities as the Agent may require substantiating such name change.

Permit any Credit Party or any of its Subsidiaries to change its address, name, jurisdiction of organization, type of organization, location of its chief executive office or principal place of business or domicile or the place it keeps its material books and records, unless such Credit Party has (a) notified the Agent and the Collateral Administrative Agent of such change in writing at least thirty (30) days before the effective date of such change, (b) taken such action, reasonably satisfactory to the Collateral Administrative Agent, to have caused the Liens against all Collateral in favor of the Collateral Applicable Agent for the ratable benefit of the applicable Lenders to be at all times fully perfected and in full force and effect and (c) delivered such certificates from of Governmental Authorities as the Administrative Agent may require substantiating such name change.
