Common use of CHANGE ORDERS AND AMENDMENTS Clause in Contracts

CHANGE ORDERS AND AMENDMENTS. 8.1.1 The County Board of Supervisors or Chief Executive Officer or designee may require the addition and/or change of certain terms and conditions in this Master Agreement during the term of this Master Agreement. The County reserves the right to add and/or change such provisions as required by the County Board of Supervisors or Chief Executive Officer. To implement such orders, an Amendment to this Master Agreement shall be prepared and executed by the Contractor and by the Sheriff or his designee. 8.1.2 For any change which does not materially affect the scope of Work, term, price, payments, or any other term or condition of this Master Agreement, a Change Order to this Master Agreement shall be executed by the County Project Director and Contractor’s Project Manager. 8.1.3 For any change which materially affects the scope of Work, term, price, payments, or any other term or condition of this Master Agreement, an Amendment to this Master Agreement shall be executed by the Contractor and the County Board of Supervisors. 8.1.4 Notwithstanding Paragraphs 8.1.1 through 8.1.3 above, for (1) any option term extension of this Master Agreement, or (2) modifications pursuant to Paragraph 8.2 (Assignment and Delegation/Mergers or Acquisitions), an Amendment to this Master Agreement shall be executed by Contractor and Sheriff or his designee. 8.1.5 Notwithstanding Paragraphs 8.1.1 through 8.1.4 above, for any change which materially affects the scope of Work, period of performance, or price for a validly executed Work Order, a Change Order to the Work Order shall be executed by the County Project Director and Contractor’s Project Manager.

County reserves the right to change any portion of the Work required under this Agreement, or amend such other terms and conditions, as may become necessary. To implement such orderschanges, an Amendment to this Master Agreement shall be prepared and executed by the Contractor and by the Sheriff or his designee. 8.1.2 For any change which does not materially affect the scope of Work, term, price, payments, or any other term or condition of this Master Agreement, a Change Order to this Master Agreement shall be executed by the County Project Director Sheriff and Contractor’s Project Manager. 8.1.3 6.3 For any change which materially affects the scope of Work, term, price, payments, or any other term or condition of this Master Agreement, an Amendment to this Master Agreement shall be executed by the Contractor and the County Board of Supervisors. 8.1.4 Notwithstanding Paragraphs 8.1.1 through 8.1.3 above, for (1) any option term extension of this Master Agreement, or (2) modifications pursuant to Paragraph 8.2 (Assignment and Delegation/Mergers or Acquisitions), an Amendment to this Master Agreement shall be executed by Contractor and Sheriff or his designee. 8.1.5 Notwithstanding Paragraphs 8.1.1 through 8.1.4 above, for any change which that materially affects the scope of Work, period of performance, price, or price for a validly executed Work Orderany other term or condition of this Agreement, a Change Order an Amendment to the Work Order this Agreement shall be executed by the County Project Director Board and Contractor’s Project Manager. 6.4 Notwithstanding Paragraph 6.3 above, for (1) any Option Term extension of this Agreement pursuant to Paragraph 7.2 below, (2) modifications pursuant to Section 39.0 (Assignment by Contractor) of Exhibit A (Additional Terms and Conditions) of this Agreement, and (3) any increase or decrease in the number of County-required hardware computing devices, handheld electronic ticket-writer computing devices, and/or ALPR systems, provided such increase or decrease does not exceed twenty percent (20%) of the originally required number, an Amendment to this Agreement shall be executed by Sheriff and Contractor.
