CHANGES IN APPENDIX A. Appendix A of the Agreement, which relates to Section 4 of the Agreement, “COMPENSATION OF ADVISER,” is hereby amended and restated in its entirety as set forth in Appendix A to this Amendment.
CHANGES IN APPENDIX A. Appendix A of the Agreement, which relates to Section 4 of the Agreement, “COMPENSATION OF THE ADVISER,” is hereby amended to add the following new series:
(i) Jxxx Hxxxxxx Multifactor Consumer Staples ETF;
(ii) Jxxx Hxxxxxx Multifactor Energy ETF;
(iii) Jxxx Hxxxxxx Multifactor Industrials ETF;
(iv) Jxxx Hxxxxxx Multifactor Materials ETF; and
(v) Jxxx Hxxxxxx Multifactor Utilities ETF. The amended and restated Appendix A is set forth hereto.

CHANGES IN APPENDIX A. Appendix A of the Agreement relating to the compensation of the Adviser is amended to restate the advisory fee schedule for Small Company Growth Fund.
CHANGES IN APPENDIX A. Appendix A of the Agreement relating to the compensation of the Adviser is amended to reduce the advisory fees for Emerging Markets Fund and International Small Company Fund.
CHANGES IN APPENDIX A. Appendix A is amended to: (i) reduce the advisory fees for the Total Return Fund and (ii) reduce the advisory fees for the Alternative Asset Allocation Fund.
CHANGES IN APPENDIX A. Appendix A is amended to: (i) revise the aggregation provisions with respect to the Strategic Income Opportunities Fund; (ii) reduce the fees for Alpha Opportunities Fund, Mid Value Fund and U.S. Equity Fund; and (iii) remove Funds that have been liquidated.
