Changes in General. Except as provided in this Section, a Transfer of the equity or voting interests of a Member or of an Affiliate of a Member which results, directly or indirectly, in a change of control of such Member will be permitted so long as such transfer does not have a material adverse effect on the other Member or the Company.
Changes in General. If any third-party equipment or software is added to Customer's cellular network after the installation of a System, and such additional equipment or software has an adverse effect on such System, then CTS will use commercially reasonable efforts to make any modifications required to the affected System due to such equipment or software on such terms and conditions and for such additional fees as the parties may mutually agree to in writing. Except as the parties otherwise expressly agree to in writing, the performance warranties set forth in Section 11, below, will not apply if any Components are adversely affected by any of Customer's equipment or software installed as part of its cellular network.
